Documentation Required to Register an Irish Limited Company
It is important to know what documentation is required when you want to register a Limited Company in Ireland. This article will explain how you will register your Limited Company and list some steps to take to make sure that the process goes smoothly.
Register Your Company’s Name
Search for your potential company name on the Companies Registration Office (CRO) to make sure that it is not already in use. Submit a RBN1B form and the registration fee (€40 for paper filing or €20 for electronic filing) to the CRO within one month of adopting your business’s name.
Fill Out and Complete the CRO’s Form A1
CRO’s Form A1 requires you to give details such as your company’s name, its registered office and address, your Company Secretary and Directors’ names, their consent to taking on their specific roles, and your subscribers and the details of their shares. It asks you to sign a declaration that states that your company’s activities comply with the Companies Act’s requirements.
Have A Description of Your Business’s Purpose
While filling out the form that will incorporate your company in Ireland, you will be asked to describe what your business will do or what its purpose is. This information is used in statistics and it will also verify what percentage of Corporate Tax you will pay.
Register Your Limited Company’s Address
You need to have a registered office address in Ireland, and it must be registered during your Limited Company set up process. It is important to note that the CRO will send legal notices to that address, that your office needs to be in the Republic of Ireland, and that the selected address will be available to those who search for your company in the CRO.
Get theConstitution for Your Business
A Limited Company requires one Constitution that has articles of association. It allows your company to trade with any legal businesses, and you need it to register your company with the CRO. It is a formal document that declares the rules that your company must comply to and it describes the relationship between your company, your shareholders, your director(s), and your other officers.
Supply Details of Your Directors
You need to give the names, addresses, dates of birth, occupations, and nationalities of your directors when you are filling out the Form A1 for the CRO.
Hire a Company Secretary
You need a Company Secretary to register your Limited Company in Ireland. The secretary must supply his/her name, address, date of birth, occupation, nationality, and Personal Public Service Number (PPSN) with the CRO. A Company Secretary is not the same as an office secretary, for a Company Secretary makes and files annual financial returns, corresponds with legal and government revenue agencies, and poses as a guide for your company. To get a Company Secretary, you can hire a professional, you can give the title to one of your directors and outsource the role to a specialist, or you can create your own by training one of your directors.
